Emily Fann is an attorney in the firm’s commercial real estate and business transactions practice, with a primary focus on commercial real estate acquisitions, dispositions, financing, development, and leasing matters. She represents developers, investors, borrowers, lenders, landlords, and business owners in the structuring, negotiation, and documentation of complex commercial transactions across a broad range of asset classes.
Emily regularly advises clients in connection with purchase and sale agreements, construction and permanent financing, loan restructurings, development and infrastructure agreements, easements, title and survey review, CC&Rs, commercial leasing, entity structuring, and general corporate matters related to real estate ownership and operations. Her practice also includes counseling clients through sophisticated due diligence and risk allocation issues arising in large-scale transactions and development projects.
In her financing practice, Emily represents both borrowers and lenders in the negotiation and documentation of commercial loan transactions, including acquisition, construction, bridge, and refinance loans, as well as related guaranty, security, and intercreditor arrangements.
Emily also advises clients on business entity formation, governance, ownership restructuring, succession planning, and ongoing operational matters for limited liability companies, partnerships, and closely held businesses. She regularly assists clients in navigating complex ownership transitions, internal reorganizations, and strategic business transactions in coordination with broader real estate and financing objectives.
